Terms of Service

Vowpace AI is a pre-signature contract clause-risk review tool. It uses large language models to flag high-risk clauses, liquidated damages traps, strict notice windows, broad indemnities, and safer redline alternatives from contract text you provide. Extraction and risk analysis are best-effort and probabilistic.

Vowpace AI is not a law firm, does not provide legal advice, does not perform legal analysis, and does not offer binding legal services. Any output — including flagged risk clauses, safer redline suggestions, extracted dates, monetary values, and status labels — is informational only and must be verified by you before any action, payment, signing, or communication is taken. You are solely responsible for confirming the accuracy of AI-flagged content and consulting qualified legal counsel for binding legal decisions.

• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding your credentials and every action taken under your account.
• You may not share your account or use it in a way that abuses our AI or infrastructure.
• We may suspend accounts that violate these Terms or applicable law.

Vowpace AI offers a Free plan (limited to 1 active contract review) and a Pro plan (unlimited contract scans, custom redlines, unwatermarked Deal Rooms, and priority AI processing) billed at $99 USD / month or $79 USD / month billed annually ($948 USD / year) through Stripe. You can upgrade, switch billing cycles, downgrade, or cancel at any time via the Pricing or Billing page. Cancellations take effect at the end of the current paid billing period.

You agree not to:

• Upload content that is illegal, infringing, defamatory, or violates a third party's rights.
• Attempt to reverse-engineer, scrape, or overload the Service.
• Use the AI extraction pipeline to produce content that misrepresents Vowpace as the source of legal advice.
• Bypass or interfere with the Free plan quota, security controls, or share-link tokens.

You retain ownership of the contract text and files you upload. You grant Vowpace a limited license to process this content solely to provide the Service. Before storage or processing, our server-side privacy shield masks common personally-identifiable patterns (payment card numbers, SSNs, passport numbers, IBANs, bank routing codes, email addresses, phone numbers) into [REDACTED]. To the maximum extent permitted by law, Vowpace AI, its officers, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, or exemplary damages arising from or related to your use of the Service, including but not limited to lost profits, unflagged contract liabilities, missed notice windows, contract disputes, or business interruption — even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you exceed the total fees you have paid to Vowpace AI in the twelve (12) months immediately preceding the event giving rise to the claim. For Free-plan users who have paid nothing, this cap is USD $100.

The Service is provided “as is” and “as available” without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that AI-extracted clause analysis or redline suggestions are complete, accurate, or fit for legal, financial, or contractual use.

You agree to indemnify and hold Vowpace harmless from any claims arising out of your use of the Service, your content, or your violation of these Terms.

You may terminate your account at any time via the Billing page. We may suspend or terminate accounts that violate these Terms. Upon termination, your data may be deleted after a 30-day grace period.

We may update these Terms from time to time. Material changes will be surfaced in-app and via email to your account address at least 14 days before they take effect.
