Terms of Service

Welcome to Vowpace AI (“we”, “us”, or the “Service”). These Terms of Service govern your access to and use of vowpace.com and any related products, features, and applications. By creating an account or using the Service, you agree to be bound by these Terms.

1. What Vowpace AI Is — and Is Not

Vowpace AI is a milestone management and productivity tool. It uses large language models to extract deliverable milestones, due dates, and monetary values from contract text you provide. Extraction is best-effort and probabilistic.

Vowpace AI is not a law firm, does not provide legal advice, does not perform legal analysis, and does not offer binding legal services. Any output — including extracted milestones, dates, amounts, and status suggestions — is informational only and must be verified by you before any action, payment, or communication is taken. You are solely responsible for confirming the accuracy of AI-extracted content.

2. Your Account

You must provide accurate registration information and keep it up to date.
You are responsible for safeguarding your credentials and every action taken under your account.
You may not share your account or use it in a way that abuses our AI or infrastructure.
We may suspend accounts that violate these Terms or applicable law.

3. Free and Pro Plans

Vowpace AI offers a Free plan (limited to 1 contract) and a Pro plan (unlimited contracts, additional integrations) billed at $99 USD / month through Stripe. You can upgrade, downgrade, or cancel at any time via the Billing page. Cancellations take effect at the end of the current billing period.

4. Acceptable Use

You agree not to:

Upload content that is illegal, infringing, defamatory, or violates a third party's rights.
Attempt to reverse-engineer, scrape, or overload the Service.
Use the AI extraction pipeline to produce content that misrepresents Vowpace as the source of legal advice.
Bypass or interfere with the Free plan quota, security controls, or share-link tokens.

5. Content and Data

You retain ownership of the contract text and files you upload. You grant Vowpace a limited license to process this content solely to provide the Service. Before storage, our server-side privacy shield masks common personally-identifiable patterns (payment card numbers, SSNs, passport numbers, IBANs, bank routing codes, email addresses, phone numbers) into [REDACTED]. 6. Limitation of Liability

To the maximum extent permitted by law, Vowpace AI, its officers, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, or exemplary damages arising from or related to your use of the Service, including but not limited to lost profits, missed payments or milestones, contract disputes, or business interruption — even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you exceed the total fees you have paid to Vowpace AI in the twelve (12) months immediately preceding the event giving rise to the claim. For Free-plan users who have paid nothing, this cap is USD $100.

7. No Warranties

The Service is provided “as is” and “as available”without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that AI-extracted milestones are complete, accurate, or fit for legal, financial, or contractual use.

8. Indemnification

You agree to indemnify and hold Vowpace harmless from any claims arising out of your use of the Service, your content, or your violation of these Terms.

9. Termination

You may terminate your account at any time via the Billing page. We may suspend or terminate accounts that violate these Terms. Upon termination, your data may be deleted after a 30-day grace period.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be surfaced in-app and via email to your account address at least 14 days before they take effect.
