§1 SCOPE Metal-stud framing, gypsum board, tape, sand, prime for floors 5–42 (residential + amenity levels) per issued-for-construction set A-100+.
§2 DAMAGES CAP WAIVER Subcontractor waives any statutory or common-law cap on consequential, incidental, or delay damages recoverable by Contractor, including Contractor's own lost profits on adjacent scopes.
§3 ANTI-ASSIGNMENT Subcontractor may not assign any right, benefit, or receivable arising under this Subcontract to any factor, lender, or third party without Contractor's prior written consent, which may be withheld in its sole discretion.
§4 RETAINAGE Contractor shall retain ten percent (10%) of each progress payment, released only upon final Owner acceptance of the entire project — not merely Subcontractor's scope.
§5 DAILY DELAY DAMAGES $3,000 per calendar day of delay to a floor's turn-over, uncapped.
“Neither party shall be liable to the other for consequential, incidental, indirect, or delay-related damages, and each party's total aggregate liability shall be capped at ten percent (10%) of the Subcontract Sum.”
